Core rule. Buyer and seller identities remain protected at the first-contact and anonymous-market-test stages. Restricted information is disclosed only after the appropriate confidentiality, qualification, contractual and authorization gates have been completed.

No onward disclosure without authority.

Specific identity disclosure must be approved and recorded. A generic NDA alone does not automatically authorize every disclosure.

No screenshot as banking proof.

Banking readiness and instruments are verified through independent official or bank-to-bank channels appropriate to the transaction.

Access is controlled and logged.

Role-based access, MFA, expiry, watermarking and audit controls are applied where supported by the selected data-room solution.

There is no universal “one-size-fits-all” document pack. The final requirement is determined by transaction structure, product, origin, destination, applicable law, refinery, banks and counterparty risk. A documented “not required” decision is valid where appropriate.

Record specific written authority before protected identities, direct coordinates or restricted relationships are disclosed.

SPA & Fee Protection

Transaction counsel prepares/reviews the SPA and appropriate fee-protection / anti-circumvention framework before introduction proceeds to execution.

Bank, Logistics & Refinery Verification

Verify authorized banking route, carrier, insurance, customs route, refinery intake and execution readiness independently.

GATE 9

Delivery, Assay & Settlement

Execute custody transfer, receipt, assay/remelt, finality, invoicing and payment according to signed transaction documents.

GATE 10

Close & Archive

Reconcile cleared payment, documented commission entitlement, invoices, final records, retention and post-transaction review.

Before any introduction, GBP requires the transaction file to support the relevant controls.

At minimum: current authority and offer validity; signed and unambiguous GBP fee entitlement where applicable; protected identities; anonymous commercial compatibility; KYB/UBO and sanctions review; product/origin/title/source review; realistic refinery/logistics/customs/banking route; recorded disclosure authority; and legal review of transaction and fee-protection documents where required.
